Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the eInvoice Converter service (“Service”) operated by Business Automatica GmbH (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

• “Account” — Your registered user account on the Service.
• “Content” — Any data, files, or information you upload, submit, or transmit through the Service.
• “Converted Output” — The eInvoice files (XRechnung, ZUGFeRD) generated by the Service from your uploaded Content.
• “Invoice Data” — The structured data extracted from your uploaded invoices during processing.
• “Service” — The eInvoice Converter web application, API, and related services provided by us.
• “Subscription” — Your selected service plan (Free, Standard, Premium, or Custom).
• “User” / “You” — Any individual or entity that creates an Account and/or uses the Service.

2. Service Description

The eInvoice Converter is an AI-powered Software-as-a-Service (SaaS) platform that converts invoices from common formats (PDF, Word, Excel, CSV, and image files) into standards-compliant electronic invoice formats, specifically XRechnung and ZUGFeRD, both conforming to EN 16931.

The Service uses artificial intelligence to extract data from uploaded invoices. While we strive for high accuracy, AI-based extraction is inherently probabilistic. You are responsible for reviewing and verifying all Converted Output before use.

3. Account Registration and Security

To use the Service, you must create an Account by providing a valid email address and setting a password.

You must provide accurate and complete registration information and keep it up to date.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

You must notify us immediately at info@businessautomatica.com if you become aware of any unauthorized use of your Account.

We reserve the right to suspend or terminate Accounts that violate these Terms, are used fraudulently, or remain inactive for an extended period (12+ months) with prior notice.

4. Subscription Plans and Pricing

4.1 Plan Overview

All prices are in Euros (EUR) and, unless otherwise stated, are exclusive of applicable value-added tax (VAT/Umsatzsteuer).

4.2 Billing Cycle

Paid Subscriptions are billed monthly in advance. The per-invoice fee is calculated based on actual usage and billed at the end of each billing cycle.

4.3 Price Changes

We may adjust pricing with at least 30 days' written notice. If you do not agree, you may cancel before the change takes effect.

4.4 Payment Methods

Payments are processed through Stripe and/or Mollie. By subscribing, you agree to the respective payment processor's terms.

4.5 Late or Failed Payments

If a payment fails, we will notify you and provide a 7-day grace period. If unresolved, we may suspend your Account, pausing invoice processing until payment is resolved. You can reactivate your account at any time by updating your payment method.

4.6 Taxes

You are responsible for any applicable taxes. We will charge VAT where legally required.

5. Free Plan

The Free plan is provided at no charge with the limitations described in Section 4.1.

We reserve the right to modify or discontinue the Free plan with 30 days' prior notice.

6. Right of Withdrawal (Consumers Only)

6.1 Applicability

This section applies only to consumers (Verbraucher) as defined by German law (Section 13 BGB).

6.2 Withdrawal Right

You have the right to withdraw from this contract within 14 days without giving any reason.

6.3 How to Withdraw

6.4 Effects of Withdrawal

We shall reimburse all payments within 14 days using the same means of payment.

6.5 Early Commencement

If Service began during the withdrawal period, you shall pay a proportionate amount for the Service already provided.

6.6 Expiry for Digital Content

The withdrawal right expires if we began execution after your express consent and acknowledgment.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel at any time via Account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

7.2 Termination by Us

We may terminate your Account if you materially breach these Terms (with 14 days to remedy), use the Service illegally, threaten the Service's security, or as required by law.

7.3 Effects of Termination

Upon termination: your access ceases; Content is available for download for 30 days; then deleted per our Privacy Policy; outstanding fees remain payable.

8. Acceptable Use Policy

You agree NOT to:

• Upload illegal, fraudulent, or infringing content;
• Upload malware or harmful code;
• Attempt unauthorized access to the Service or other accounts;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Resell or commercially redistribute the Service without consent;
• Circumvent usage limits or technical restrictions;
• Interfere with or disrupt the Service.

9. User Content and Data Ownership

9.1 Your Ownership

You retain all rights in your Content. We do not claim ownership.

9.2 License to Us

You grant us a limited, non-exclusive license to process your Content solely to provide the Service. This license terminates when your Content is deleted.

9.3 No AI Training

Your Content is NOT used to train AI models. The AI processing uses a commercial API that contractually prohibits customer data for training.

9.4 Responsibility for Content

You warrant that you have the right to upload the Content and that it does not violate any law or third-party rights.

9.5 Content Accuracy

You are responsible for verifying the accuracy of all Converted Output before use.

10. Intellectual Property

The Service, its software, design, and trademarks are owned by Business Automatica GmbH. Nothing in these Terms grants you rights in our IP beyond the limited right to use the Service.

11. Service Availability

We aim for reasonable availability but do not guarantee uninterrupted operation. SLAs are available for Custom plan customers.

We may modify features with at least 30 days' notice for material changes.

12. Accuracy Disclaimer

AI extraction may contain errors. You must review and verify all Converted Output before submission to any third party, tax authority, or business partner.

13. Warranty and Disclaimer

We warrant reasonable care and skill. Beyond this, the Service is provided “as is” to the extent permitted by German law (BGB).

14. Limitation of Liability

Nothing excludes our liability for death/personal injury, fraud, intent (Vorsatz), or gross negligence (grobe Fahrlässigkeit).

Subject to the above, total liability is capped at fees paid in the 12 months preceding the claim.

In cases of slight negligence (einfache Fahrlässigkeit), liability is limited to breaches of essential contractual obligations (Kardinalpflichten) and foreseeable, typically occurring damage.

15. Indemnification

You agree to indemnify us from claims arising from your misuse of the Service or your Content. For consumers, this applies only for intentional or negligent conduct.

16. Data Protection

We process your data per our Privacy Policy. Where you process third-party data through our Service, we act as your data processor (GDPR Art. 28). A DPA/AVV is available upon request.

17. Governing Law and Jurisdiction

German law applies, excluding CISG. For business users: exclusive jurisdiction in Kaiserslautern. For consumers: mandatory local consumer protections apply.

The EU ODR platform was shut down on 20 July 2025. Our dispute contact: info@businessautomatica.com. We are not obligated to participate in consumer arbitration.

18. Modifications

We may modify these Terms with at least 30 days' advance notice by email. If you disagree, you may cancel before the changes take effect.

19. Severability

Invalid provisions shall be replaced with valid ones achieving the closest intended economic purpose.

20. Assignment

You may not assign your rights without our consent. We may assign to a successor entity in a merger or acquisition.

21. Entire Agreement

These Terms, with our Privacy Policy and Cookie Policy, constitute the entire agreement.

22. Waiver

Failure to enforce any provision does not constitute a waiver.

23. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control.
